Terms of use

The person who use (hereinafter referred to as the "User") of the Japan Midnight Map (hereinafter referred to as the "Service") provided by Zenrin DataCom Co.,LTD (hereinafter referred to as the "Company"), shall be bound by this Terms of Use (hereinafter referred to as the "Terms") when using the Service. In event that the User does not agree to these Terms, he or she shall not use the Service. Any information, including but not limited to help, notes, any kind of policy, and other materials, posted by the Company on the Service that is not explicitly covered by these Terms shall also be considered a substantial part of there Terms.

Article 1 Licence to use, etc.

1. The User may use the distribution of map data, facility data and other information data (hereinafter collectively referred to as "Map Data etc."), search Service for Map Data etc., and other Service determined by the Company in accordance with the provisions of the following paragraphs. The following Service may be used in accordance with the provisions of the following paragraphs.
2. The Company grants the User a non-exclusive right to use the Service for personal and non-commercial purposes only on the Service or on a terminal managed or owned by the User in accordance with the method set out on the Company's website.

Article 2 Amendments to these Terms

The Company reserves the right to amend the content of these Terms at any time, and will provide notice of such amendments in a manner deemed appropriate by the Company. Such amendments shall be effective from the date of the amendment.
1. The Company reserves the right to modify these Terms at any time and for any reason at the Company's discretion.
2. Unless otherwise specified by the Company, the amended Terms will take effect from the time they are displayed on the Service.
3. If the User uses the Service after the amended Terms have taken effect, the User will be deemed to have agreed to the revised Terms.

Article 3 Intellectual Property Rights

Copyrights, trademarks, patents and other intellectual property rights and all other rights relating to the Service and Map Data etc. shall belong to the Company or to third parties who have granted rights to the Company.

Article 4 Responsibilities of User

1. The User shall use the Service in accordance with the Terms, the operating instructions and operating precautions provided separately on the Service or by the Company.
2. In addition to this Terms, the User agrees to use the Service in accordance with the attached “Map Usage Terms” .
3. User shall use the Service at their own risk.
4. User shall comply with the terms of use,etc of the linked services when using other services linked from the Service.
5. In the event that the User causes damage to the Company as a result of a breach of these Terms or an illegal act, the User shall be liable for compensation for all damages (including attorney’s fees) incurred by the Company

Article 5 Prohibitions

Unless otherwise expressly authorised by the Company, the User shall not do any of the following when using the Service:
（1）Reverse engineering, decompiling, disassembling or other similar acts.
（2）Reproduction, transcription, extraction, processing, change, modification, translation, adaptation, distribution, public transmission, creation of derivative works or other use.
（3）Infringement or contribute to nociceptive behavior of any third party’s intellectual property rights, right of portrait, right of publicity, right of privacy, right of reputation, right of personality or any other rights.
（4）Use for profit-making or commercial purposes.
（5）Using the Service and the data contained in the Service for purposes other than those intended for the use of the Service.
（6）Inducing the commission of acts in breach of the law or hindering the investigation of illegal acts.
（7）Transmitting any computer virus, computer code, file or programme that interferes with, destroy or restrict the functionality of the Service.
（8）Acting contrary to public order and morals.
（9）To take any other action that the Company reasonably considers to be inappropriate for the management and operation of the Service.

Article 6 Disclaimer

1. The Company shall not be liable for any damage or loss arising from the use or inability to use the Service, except as expressly stated in these Terms or as otherwise provided for by law.
2. The Company does not guarantee the accuracy, completeness, fitness for a particular purpose, normal operation and functionality on the terminal, or that the Service is free from defects or infringement of intellectual property rights, or any other express or implied warranties relating to the Service, including, but not limited to, the warranties that all information provided to the user in the Service is accurate, complete, safe and suitable for a particular purpose. The Service is provided "as is" without any warranty, express or implied.
3. The provisions of the preceding paragraphs shall not apply in the event of wilful misconduct or gross negligence on the part of the Company.

Article 7 Handling of users' information

1. The Company will obtain the User's location data, IP address, etc. (collectively, the "Access Log") thoroght the use of this Service by the User.
2. The Company will use the access logs obtained in accordance with the preceding paragraph for the purpose of providing the Service.
3. 3. In addition to the preceding paragraphs, in order to analyse the purpose of use of the Service by the User to provide better Service to User, the Company may collect information obtained from the User’s cookies and similar technologies in accordance with the "External Transmission Policy" The information shall be collected and used only for the purposes set out in the "External Transmission Policy"

Article 8 Suspension of the Service

The Company may, at its discretion, suspend or terminate the provision of part or all of the Service or change the functions of the Service without prior notice to the User.

Article 9 General Provisions

1. In the event that any provision of the Terms or part thereof is determined to be invalid or unenforceable by law or regulation, this does not affect the validity of the remaining provisions of the Terms.
2. In the event of any ambiguity or disputes arising between the User and the Company regarding the interpretation of these Terms, or otherwise, the User and the Company shall consult in good faith and endeavour to resolve the matter.
3. Any matters not mentioned in these Terms shall be at our discretion.
4. 4. These Terms are governed by and construed in accordance with the laws of Japan without regard to the principle of the conflict of laws thereof.
5. Any and all disputes arising out of or in connection with the Servicehall submit to the exclusive agree jurisdiction of the Tokyo District Court of Japan at the first instance.

Terms of Use　for the Map

The maps and map-related information ("Map Data etc. ") displayed on the service to be used by the customer ("Service") have been provided by ZENRIN Co., Ltd. through its ZENRIN Maps API service (the ‘ZENRIN Service’). Please be sure to　read the following terms of Use for the Map ("Terms") in advance of Customer use of the Map Data, etc. to ensure full understanding and consent. If the Customer starts to use the Map Data, etc., the Customer shall be deemed to have consented to the Terms.

Article 1 (Copyright and license of Map Data etc.)

1. The copyright of the Map Data etc. etc. and other data belongs to Zenrin or third parties who have granted rights to Zenrin.
2. The Customer may use the Map Data etc. and other data transmitted to the Customer's PC, smartphone, tablet, mobile phone, etc. ("Device") to the following extent
（1）To be displayed on the Service at the Device.
（2）Except in cases where the Service is not a publicly available website or an application provided to an unspecified number of Customers, the printing out of Map Data etc. displayed on the Service on paper using the print function provided in the web browser (such printed out data is hereinafter referred to as "Reproduction Results"). ) .
（3）Among the Map Data etc., to store (duplication) ID information called ZID in the Device.
3. The Customer has no rights other than set out in the preceding paragraph regarding the Map Data etc.
4. Copyrights, industrial property rights and other intellectual property rights (including the right to receive these rights) relating to Zenrin Service relating to the Zenrin Service shall belong to Zenrin, Zenrin's affiliated companies or third parties who have granted these rights to Zenrin.
5. In the event that Customer creates an invention, idea or design involving the Zenrin Service and wishes to apply for an application for intellectual property rights, the Customer shall obtain the prior consent of Zenrin through the service provider for the condition of such application.

Article 2 (Compliance).

1. Except as expressly permitted in the preceding Article, the Customer shall comply with the following with regard to the use of Map Data etc. (including Reproduction Results).
（1）No reproduction (including printing), transcription, extraction, processing, alteration, adaptation, transmission or other use of the Map Data etc. in whole or in part, by themselves, irrespective of the method used.
（2）Not to transfer, lend, license, transmit or otherwise make available to third parties all or part of the Map Data etc. (including reproductions, outputs, extracts and other utilizable　materials, regardless of form), whether for a fee or free of charge.
（3）Not to infringe the rights of others, including intellectual property rights, Image rights, rights of publicity, rights of privacy, trust and personality of third parties, and not to engage in acts that encourage infringement of these rights.
（4）Where personal information is contained in Map Data etc., the law on the protection of personal information and related laws, regulations and guidelines shall be faithfully observed with regard to the handling of such personal information.
（5）Not to use or exploit the Service for any purpose other than its intended use.
2. Unless otherwise authorized, the Customer shall comply with the following with regard to the Reproduction Results
（1）The Reproduction Result shall not be used or exploited in the form of bound books, booklets, filing or other forms of bundling or pasting together of the Reproduction Result.
（2）The size of the map in the Reproduction Results should be no larger than A3 size.
（3）The Reproduction Results shall be used or utilized only within the scope of the business use of the department that owns the terminal with the printed output of the Reproduction Results.
（4）For residential maps and other content superimposed on maps, the terminals capable of printing out Reproduction Results shall be limited to PC terminals only.

Article 3 (Guarantee).

The Customer agrees that the Map Data etc. is not guaranteed to meet the Customer's intended use or requirements or to be accurate or complete, and the Customer has no right to demand the replacement, repair, refund of payment or other action in the event of errors or defects in the Map Data etc.

Article 4 (Suspension of provision of Map Data etc.)

1. The provision of all or part of the Map Data etc. may be temporarily suspended without prior notice to the Customer in any of the following cases.
（1）In the event of fire, earthquake, flood, tsunami or other natural disaster, power failure, labor dispute, epidemic, riot, act of war or unauthorized access, compulsory disposition under laws and regulations, or any other event that is reasonably deemed to prevent Zenrin from providing the Zenrin Service, or threatened to occur.
（2）For periodic or urgent maintenance and inspection of the server system("System") that distributes Map Data etc. and other data in the Zenrin Service.
（3）In the event that it is necessary to urgently carry out maintenance or inspections of the software, equipment, etc. required to provide Zenrin Service.
（4）In the event that the provision of Zenrin Service is no longer possible due to a server failure or other problem with the System or the Service.
（5）In addition to the preceding items, in cases where it is determined that a temporary suspension of the Zenrin Service is unavoidable.
（6）In the event that the provision of the Zenrin Service is significantly hindered or there is a risk of such due to reasons attributable to the Customer.
2. The management of the System and the provision of Map Data etc. may be terminated without prior notice to the Customer.

Article 5 (Notes).

For the safety of Customer, in using the route search service for cars, motorcycles, mopeds, bicycles, etc. (collectively “Vehicles”), trains, buses and pedestrians (“Route Search Service”), Customer shall agree to the following items.

（1）Driving the vehicle or walking while watching the display of the Device is extremely dangerous, be sure to stop in a safe place before watching Map Data etc.
（2）In the case of using the Route Search Service as navigation system while driving a Vehicle, please be sure checking the Map Data etc. with any passengers in the vehicle, or the Vehicles shall be stopped at a safe location before watching the Map Data etc.
（3）Map Data etc., traffic regulation information, route information, traffic congestion information, road toll information, facility information and other information provided by the Zenrin Service shall be used as reference information, and actual situation (including actual footpath and road conditions) and traffic rules shall always take precedence.
（4）The information provided by the Zenrin Service does not include all the information on facilities such as hospitals, fire stations and police stations, and the information provided by the Zenrin Service may differ from the actual situation. Customer should not use the Route Search Service for the purpose of navigating to emergency facilities, etc. (Customer should be aware that it may not be possible to reach the relevant facility within the estimated time using the Route Search Service).

Article 6 (Use of usage history).

The Customer agrees that Zenrin may use the Customer's usage history of the Zenrin Service (including movement history information when the movement history information of the Customer's Device is obtained using the functions of the Zenrin Service in the Service, defined below as "Usage History") in the following cases.

（2）To be provided to third parties for the purpose of outsourcing operations related to Zenrin Service, etc.
（3）To provide the Usage History to third parties in a form that does not make it possible to the identification of individuals.
（4）In addition, use or provide the Usage History to the third party upon individual consent of the Customer.

「Japan Midnight Map」利用規約

株式会社ゼンリンデータコム（以下「当社」）が提供する「Japan Midnight Map」（以下「本サービス」）は、この利用規約（以下「本規約」）に従って提供されます。本サービスを利用する方（以下「利用者」）は、本規約に同意されない場合、本サービスを利用することはできません。なお、当社が本規約以外に本サービス上に掲載するヘルプ、注意事項等も、本規約の一部を実質的に構成するものとします。

※当社は、利用者へ事前に通知することなく、当社の裁量によって、本サービスの一部若しくは全部の提供を中断、終了又は機能の変更をする場合があります。

第１条　利用許諾等

１. 利用者は、本サービスにおいて、地図データ、施設データ、その他情報データ（以下総称して「地図データ等」）、及びその他当社が定めるサービスを次項の定めに従って利用することができます。
２. 当社は、本サービス上又は当社のWebサイトに定める方法に従い、利用者が管理又は保有する端末において、本サービスを個人的かつ非商用目的に限り利用する、非独占的な権利を、利用者に対し許諾します。

第２条　本規約の改訂

１. 当社は、当社の判断により、本規約をいつでも任意の理由で変更することができるものとします。
２. 変更後の利用規約は、当社が別途定める場合を除いて、本サービス上に表示した時点より効力が生じるものとします。
３. 利用者が、本規約の効力が生じた後に本サービスを利用した場合は、変更後の利用規約に同意したものとみなされます。

第３条　知的財産権

本サービス及び地図データ等に関する著作権、商標権、特許権等の知的財産権、その他一切の権利は、当社又は当社に権利を許諾した第三者に帰属するものとします。

第４条　利用者の責任

１. 利用者は、本規約、本サービス上又は当社が別途定める操作方法、操作上の注意事項等に従って本サービスを利用してください。
２. 利用者は、別紙に定める「地図使用規約」について、同意のうえ本サービスを利用するものとします。
３. 利用者は、利用者自身の責任において本サービスを利用するものとします。
４. 利用者は、本サービスとリンクする他のサービスを利用する場合、リンク先のサービスの利用規約等も遵守するものとします。
５. 利用者は、本規約に違反した行為又は違法行為によって当社に損害を与えた場合、当社が被った全ての損害（弁護士費用等を含む）を賠償する責任を負うものとします。

第５条　禁止事項

当社が別途明示的に許諾する場合を除き、利用者は、本サービスの利用にあたり次の各号に定める事項を行ってはなりません。
（１）リバースエンジニアリング、逆コンパイル、逆アセンブルその他これらに準じる行為をすること。
（２）複製、転記、抽出、加工、改変、翻訳、翻案、頒布、公衆送信、二次的著作物の作成その他の利用をすること。
（３）第三者の知的財産権、肖像権、パブリシティ権、プライバシー権、信用、人格権など他人の権利を侵害し、またこれらの権利侵害を助長する行為をすること。
（４）営利目的又は商業目的に利用すること。
（５）本サービス及び本サービスに含まれるデータを、本サービスを利用する目的以外に使用すること。
（６）法令に違反する行為の実行を誘引する行為又は違法行為の捜査を妨げる行為をすること。
（７）本サービスの機能性を妨害、破壊、制限するコンピューターウイルス、コンピューターコード、ファイル又はプログラムを送信すること。
（８）公序良俗に反する行為をすること。
（９）その他、本サービスの管理及び運営のために、当社が不適当であると合理的に判断する行為をすること。

第６条　免責事項

１. 当社は、本規約に明示的に記載される場合又は法令により別段の定めがある場合を除き、本サービスを利用したこと又は利用できなかったことから生じる損害・損失に関して、いかなる責任も負いません。
２. 当社は、本サービスにおいて利用者に提供される全ての情報の正確性・完全性・特定の目的に対する適合性、端末上での正常な動作や機能性、また本サービスに瑕疵がなく、知的財産権の侵害がないこと、その他明示又は黙示を問わず、本サービスに関連する一切の保証をしないものとします。
３. 前各項の規定は、当社に故意又は重過失がある場合はこの限りではありません。

第７条　利用者の情報の取り扱い

当社は、利用者による本サービスの利用目的を分析するため、又は個々の利用者に対してより良いサービスを提供する等の目的のために、利用者のクッキー（Cookie）及び類似の技術で取得した情報を、「外部送信ポリシー」に従って収集し、「外部送信ポリシー」において定める目的でのみ利用するものとします。

第８条　本サービスの提供中止

当社は、利用者へ事前に通知することなく、当社の裁量によって、本サービスの一部若しくは全部の提供を中断、終了又は機能の変更をする場合があります。

第９条　一般条項

１. 本規約のいずれかの条項又はその一部が法令等により無効又は執行不能と判断された場合であっても、当該条項又は当該一部以外の本規約の条項の効力には何ら影響を与えないものとします。
２. 利用者と当社間に本規約の解釈その他につき疑義又は紛争が生じた場合には、両者は誠意をもって協議し解決に努めるものとします。
３. 本規約に記載のない事項については、当社の判断によるものとします。
４. 本規約の準拠法は、日本法とします。
５. 本サービスに関連して、訴訟の必要が生じた場合は、日本国の東京地方裁判所を第一審の専属的合意管轄裁判所とします｡

地図使用規約

お客様が使用される本サービス（「本サービス」）で表示される地図及び地図に関連する情報（「地図データ等」）は、株式会社ゼンリンのZENRIN Maps APIサービス（「ゼンリンサービス」）により提供されております。提供される地図データ等のご使用にあたり、お客様は、必ず以下の規約（「規約」）を事前にお読みになり、規約の全ての事項に承諾した場合のみ地図データ等を使用してください。お客様が地図データ等の閲覧を開始した場合は、規約を承諾したものとみなします。

第１条（地図データ等の著作権および使用許諾）

１. 地図データ等の著作権は株式会社ゼンリン（「ゼンリン」）またはゼンリンに権利を許諾する第三者に帰属します。
２. お客様は、お客様のPC、スマートフォン、タブレット、携帯電話等（「端末」）に送信された地図データ等について、以下の範囲で利用できるものとします。
（１）端末において本サービス上で表示すること。
（２）本サービスが公開されたウェブサイト又は不特定多数のお客様に提供されるアプリケーションでない場合に限り、Webブラウザに備えられた印刷機能を使用して、本サービス上で表示された地図データ等を紙媒体に印刷出力すること（当該印刷出力したデータを以下「複製成果」という。）。
（３）地図データ等のうちZIDと称するID情報を端末に格納（複製）すること。
３. お客様は地図データ等について、前項に定める権利以外のいかなる権利も取得するものではありません。
４. ゼンリンサービスに関する著作権、産業財産権などの知的財産権（これらを受ける権利を含む。）はゼンリン、ゼンリンの関連会社又はこれらに権利を許諾する第三者に帰属するものとします。
５. お客様は、ゼンリンサービスを含む発明、考案又は意匠の創作を行い、知的財産権の出願申請を希望するときは、事前に当該出願に関する取扱いについて本サービスの提供者を通じて、ゼンリンの承諾を得るものとします。

第２条（遵守事項）

１. お客様は、前条で明示的に許諾される場合を除き、地図データ等（複製成果を含む）の使用に関して、以下の事項を遵守するものとします。
（１）方法の如何を問わず、地図データ等の全部または一部について、自ら複製（印刷を含む。）、転記、抽出、加工、改変、翻案、送信その他の利用しないこと。
（２）有償・無償等の如何を問わず、地図データ等（形態の如何を問わず、複製物、出力物、抽出物その他利用物を含む）の全部または一部について、譲渡、貸与、使用許諾、送信その他の方法により第三者に利用させないこと。
（３）第三者の知的財産権、肖像権、パブリシティ権、プライバシー権、信用、人格権など他人の権利を侵害し、またこれらの権利侵害を助長する行為を行わないこと。
（４）地図データ等に個人情報が収録されている場合、当該個人情報の取扱いについて、個人情報の保護に関する法律並びにこれに関連する法令、規則及びガイドライン等を誠実に遵守すること。
（５）本サービスの利用目的以外の目的で使用または利用しないこと。
２. お客様は、別途許諾を得た場合を除き、複製成果について、以下の事項を遵守するものとします。
（１）複製成果を製本・冊子・ファイリング等の束ねた形態又は複製成果同士を貼り合わせた形態にして使用及び利用しないこと。
（２）複製成果における地図の大きさはA３サイズ以下とすること。
（３）複製成果を印刷出力した端末を保有する部署の業務利用の範囲でのみ使用又は利用すること。
（４）住宅地図その他地図上に重畳されるコンテンツについては、複製成果を印刷出力可能な端末は、PC端末のみに限られること。

第３条（保証）

お客様は、地図データ等が、必ずしもお客様の使用目的または要求を満たすこと、および正確性または完全性を有することを保証するものではないことに同意し、地図データ等に誤りや不具合等があった場合でも、地図データ等の交換・修補・代金返還その他の対応を要求する権利を有しないものとします。

第４条（地図データ等提供の停止等）

１. 地図データ等の全部または一部の提供は、次の各号のいずれかに該当する場合は、お客様への事前の通知なく一時的に中断されることがあります。
（１）火災、地震、洪水、津波等の天災、停電、労働争議、疫病、暴動、戦争行為又は不正アクセス行為、法令等に基づく強制的な処分、その他ゼンリンがゼンリンサービスを提供できないと合理的に認められる事由が発生した場合又はそのおそれがある場合
（２）ゼンリンサービスにおいて地図データ等を配信するサーバシステム（「本システム」）の定期的な又は緊急の保守・点検を行う場合
（３）ゼンリンサービスの提供に必要なソフトウェア、設備等の保守・点検を緊急に行う必要がある場合
（４）本システム又は本サービスのためのサーバの障害等により、ゼンリンサービスの提供ができなくなった場合
（５）前各号の他、やむを得ずゼンリンサービスの一時中断が必要であると判断された場合
（６）お客様の責に帰すべき事由によりゼンリンサービスの提供に著しい支障をきたした場合又はそのおそれがある場合
２. 本システムの運営および地図データ等の提供は、お客様に対する予告無く終了することができるものとします。

第５条（注意事項）

お客様は、自動車、自動二輪車、原付、自転車等（総じて「車両」）、電車、バスおよび歩行者経路検索サービス（「経路検索サービス」）をご利用する際には、お客様の安全のために以下の事項について、承諾するものとします。
（１）端末の画面を見ながらの車両の運転および歩行は大変危険であるため、地図データ等を確認する場合は、必ず安全な場所に停止してから行うこと。
（２）経路検索サービスを車両の運転時にナビゲーションとしてご利用する場合には、同乗者に地図データ等を閲覧させるか、あるいは、安全な場所に停車してから行うこと。
（３）ゼンリンサービスで提供される地図データ等情報、交通規制情報、ルート情報、渋滞情報、道路料金情報、施設情報その他情報は参考情報であり、常に現況（実際の歩道や道路の状況を含む）および交通ルール等を優先すること。
（４）ゼンリンサービスで提供される情報には、病院、消防署、警察署などの施設情報が漏れなく収録されているわけではなく、また、ゼンリンサービスで提供される情報が現況と異なる場合があるため、経路検索サービスを救急施設などへの誘導目的に使用しないこと（経路探索サービスによる予定時間内に当該施設に到着できない可能性があります）。

第６条（利用履歴の利用）

お客様は、ゼンリンが、お客様によるゼンリンサービスの利用履歴（本サービスにおいてゼンリンサービスの機能を用いてお客様の端末の移動履歴情報を取得する場合は移動履歴情報を含み、以下「利用履歴」）を、次に定める場合に利用することについて、同意するものとします。
（１）ゼンリンサービスの向上、新規サービスの開発、マーケティング等の目的のために利用すること。
（２）ゼンリンサービス等に関する業務処理を委託する目的で、第三者に提供すること。
（３）お客様の利用履歴であると特定できない形で、第三者に提供すること。
（４）その他お客様に個別の同意を得たうえで利用履歴を利用し、又は提供すること。
